GiveMePower Corporation Issues Update on Lawsuit Against Pace Compumetrics Date:
August 16, 2007 CALGARY, Alberta (August 16, 2007) - GiveMePower Corporation (Other OTC:GMPW.PK) today issued an update in its ongoing US Federal Court litigation against Pace Compumetrics, Inc. and others, including the principal owners of Pace and Pace's counsel, initially filed January 25, 2007 in the United States District Court, Southern District of California. The suit arises out of a December 2006 professional services agreement, in which Pace retained GiveMePower to provide building floor plan drawings for approximately 1,656 Bank of America building sites. In its suit, GiveMePower is seeking more than $1.3 million in compensatory damages from Pace and other named Defendants, as well as punitive damages, legal fees and any other damages to which it would be entitled and as awarded by the Court. Other named Defendants include Terry Resnick, Pace's CEO; Jody Resnick, Pace's president; Ronald S. Berg, Pace's attorney; and Randolph "Skip" Willis, GiveMePower's former senior project engineer. Allegations against the Defendants are detailed in GiveMePower's March 16, 2007 Verified First Amended Complaint ("FAC"). The FAC alleges the following causes of action: (1) breach of contract; (2) breach of the implied covenant of good faith and fair dealing; (3) breach of the duty of loyalty; (4) breach of fiduciary duty; (5) intentional interference with contractual relationships; (6) intentional interference with prospective economic advantage; (7) unfair competition; (8) conversion; (9) misappropriation of trade secrets; (10) fraudulent inducement; and (11) injunctive relief. In his August 14, 2007 Order, presiding United States District Court Judge, William Q. Hayes, ruled in GiveMePower's favor on three motions which were pending before the Court; including Motions by Defendants Pace, Berg and the Resnicks to Dismiss the FAC and to Strike Portions of the FAC. "We feel validated on the merits of our lawsuit against Pace and the other defendants.
